IF YOU ARE A MINOR, YOUR PARENT OR LEGAL GUARDIAN MUST READ AND AGREE TO THESE TERMS OF USE ON YOUR BEHALF. Subject to the laws of your jurisdiction, you must be 13 years of age or older if a resident of Canada (or 16 years of age or older if a resident of Europe, or 18 years of age or older if a citizen of United States of America), to create an Account (defined below) or use the Website, unless you have your parent or legal guardian’s permission to create an Account and use the Website.

ACCEPTANCE OF TERMS OF USE

  1. By accessing any of Les Productions Hommage Inc. website pages or subdomains (collectively, the “Website”), you agree to be bound by the following Terms of Use, which may be amended or replaced from time to time in  Les Productions Hommage Inc.’s (« LPHI ») sole discretion. Any reference to LPHI in this document includes reference to its affiliates, agents, successors, assigns and subsidiaries, who will collectively be addressed as “LPHI”.
  2. The Terms of Use are in addition to LPHI’s Privacy Policy and any other policies that may be in existence and govern the operation of the Website from time to time.IF YOU DO NOT AGREE TO BE BOUND BY THE TERMS OF USE IN THEIR ENTIRETY, YOU ARE NOT PERMITTED TO USE OR ACCESS THE WEBSITE. IF YOU CONTINUE TO REMAIN ON THE WEBSITE, WE WILL ASSUME THAT YOU AGREE TO THE TERMS OF USE.
  3. In these Terms of Use, “you” or “your” means any person or entity using the Website (also referred to as “Users” where the context so allows), and if such person is under the age of majority in his/her jurisdiction (a “Minor”) it also includes such person’s parent or legal guardian.
  4. These Terms of Use amount to an agreement between you and LPHI and apply to all users of the Website. HOWEVER, IF YOU RESIDE IN THE PROVINCE OF QUEBEC, SOME OF THESE TERMS MAY NOT APPLY TO YOU.
  5. These Terms of Use generally govern the use of the Website. The Website and its functionalities may have additional terms that are specific to the use of a particular functionality and/or service, to which you will agree at the time of using the functionality or service in question.
  6. The Terms of Use are exclusive and in addition to LPHI’s Privacy Policy, as may be amended or replaced from time to time (the “Privacy Policy”), which provides information about LPHI’s collection, use and disclosure of your personal information. LPHI may change its Privacy Policy from time to time and will maintain the most recent and up-to-date version on the Website.
  7. THIS DOES NOT APPLY IF YOU RESIDE IN THE PROVINCE OF QUEBEC. It is the express wish of the parties that the Terms of Use, and any documents directly or indirectly related thereto, be drawn up in English. Any translation of the Terms of Use is provided solely for your convenience and is not intended to modify the Terms of Use themselves. In the event of a conflict between the English version of the Terms of Use and a version of the Terms of Use in a language other than English, the English version shall prevail. It is the express wish of the parties that the Terms of Use, and any documents directly or indirectly related thereto, be drawn up in English. Any translation of the Terms of Use is provided solely for your convenience and is not intended to modify the Terms of Use themselves. In the event of a conflict between the English version of the Terms of Use and a version of the Terms of Use in a language other than English, the English version shall prevail. This does not apply if you are a resident of the province of Quebec.

SCOPE AND AMENDMENTS

  1. LPHI may amend, supplement or replace these Terms of Use and/or any of its other policies at any time. Please check these Terms of Use each time you access and use the Website so that you understand the terms applicable to your access and use of the Website.
  2. When LPHI makes changes to these Terms of Use, LPHI may notify you of the changes by posting the revised version on the Website, and may ask for your agreement to the amended Terms of Use at that time. If you do not agree to the amended Terms of Use, you may not continue to access or use the Website. LPHI is not obligated to provide notices to its Users, except by providing access to the most recent Terms of Use on its Website.
  3. IF YOU ARE A RESIDENT OF QUEBEC, and are a consumer within the meaning of the Consumer Protection Act (Quebec), the following provisions apply:
  1. LPHI will notify you of any of the following amendments and/or updates that apply to consumers: (i) the nature of LPHI’s services; (ii) the rights, obligations and liabilities of consumers; (iii) communications and notices; (iv) identity authentication; (v) payment methods; (vi) fees; (vii) restricted activities; (viii) dispute resolution procedures; (ix) governing law and jurisdiction; (x) limitations of liability and warranties; and (xi) definitions.
  2. The notice will set forth the change, the date of the coming into force of the change and your rights to refuse such change and to rescind the Terms of Use without cost, penalty or cancellation indemnity by sending LPHI a notice to that effect no later than 30 days after the modification comes into force.
  1. If you do not agree to the revised Terms of Use, you must stop using the Website, and terminate your relationship with LPHI without cost or penalty. The Terms of Use will continue to apply to your previous use of LPHI’s services.

YOUR ACCOUNT AND LOGIN

  1. Your individual user account(s) or login credentials (collectively, “Account” or “Accounts”) are for your own personal use.
  2. You must provide complete and accurate data in your user profile, and inform LPHI promptly of any changes to your Account information. We ask that you maintain your login information securely, and change any passwords, if applicable, from time to time. We also ask that in the event of a suspected security breach, irrespective of the impact it shall have on the Website, LPHI and/or other Users of the Website, you report the occurrence of such suspicious activity to [email protected].
  3. You are solely responsible for any and all activity on your Account, for complying with intellectual property laws and third party rights, and for maintaining back-up copies of any files uploaded to or related to your Account. You may not upload or republish any of the Website content, including but not limited to text, videos and/or photos, or other than your own, save and except for the “share” feature which specifically allows for others to link to this information.
  4. LPHI may allow Users to make financial contributions to the customer who orders and pays for the webcasting and related services (the “Customer”), through third-party payment gateway websites/systems. Users in making or receiving these contributions are bound by the terms of: (i) LPHI’s Contribution and Recipient Terms and Conditions, (ii) all other applicable LPHI policies, and (iii) all applicable policies of the third-party payment vendor.
  5. LPHI may, in the future offer applications specifically designed to other devices directly or through third-party stores. Such applications shall be governed by their own policies and/or these Terms of Use. LPHI in view of any new features, may update these Terms of Use and reserves the right to present and have Users agree to any additional terms in respect of those applications.

OWNERSHIP OF WEBSITE CONTENT AND MATERIALS

  1. The Website is owned and operated by LPHI. All content on the Website (with the exception of the User Content as defined and outlined in Section  ‘’USER CONTENT’’ below) is the property of LPHI and/or its licensors, with all rights reserved. No content may be copied, distributed, downloaded, modified, removed, reproduced, republished, sold or otherwise transmitted, or in any form or by any means (electronic or otherwise, whether known or to be known in the future), in whole or in part, without LPHI’s prior written consent.
  2. With the exception of the User Content as defined and outlined in Section 6 below, all products, services, content, information displayed, sold, performed or otherwise accessible through the Website, including without limitation consumer goods and services, digital images, software, designs, texts, databases, images, photographs, illustrations, audio clips, video clips, artwork, graphic material and any copyrightable and/or patentable elements, and the selection and arrangements thereof, and all copyright, trade-marks, service marks, trade names and patents (collectively, the “LPHI Materials”), are the property of LPHI and its partners, third party licensors and suppliers and/or their successors and assigns, and are protected by Canadian and foreign laws.
  3. Without limiting the generality of any other provisions hereof, the use or sale of any LPHI Materials on any other website or networked computer environment is strictly prohibited.
  4. Except as otherwise expressly agreed to by LPHI, these Terms of Use grant a limited license to access and use the Website for your personal, non-commercial use. You agree that no portion of the Website shall be accessed, used, reproduced, duplicated, copied, or otherwise exploited by you for any purpose contrary to these Terms of Use, and nothing contained herein shall be construed as conferring any other right. You may not use the LPHI Materials in a manner that suggests an association with LPHI unless LPHI agrees otherwise in writing. You may not make any modifications to any LPHI Materials other than as expressly permitted by LPHI.
  5. Without limiting the generality of the foregoing, and except as otherwise expressly agreed to by LPHI, you shall not:
  1. download or copy any Website pages, except as may occur through the normal caching function of your browser and except to print and retain a copy of the pages of the Website for your own personal, non-commercial use;
  2. download or copy Website information or content for the commercial benefit of you or a third party;
  3. make any resale or commercial use of the Website or the LPHI Materials;
  4. publish any collection or compilation of any product listings, descriptions, or prices;
  5. reverse engineer or create any derivative work of the Website or its contents;
  6. use any data mining tools, robots, or similar data-gathering and extraction devices with respect to the Website and the information contained thereon;
  7. frame or use framing techniques to enclose any trade-mark, logo, trade name or other content (including images, text, page layout, or form) of LPHI or its licensors; or
  8. use metatags or other “hidden text” utilizing the intellectual property (including copyright, trade-marks, logos, trade names) or content of LPHI or its licensors.

OWNERSHIP AND STORAGE OF FOOTAGE

  1. You hereby acknowledge and agree that LPHI owns the rights to any new Content including a video, picture, audio, or compilation thereof (the “Footage”) created and/or streamed by LPHI using LPHI’s Webcast services, and that said new Content, including the Footage, shall form part of the LPHI Materials. The clauses of Section 4 of these Terms of Use apply to the Footage as such.
  2. The Footage shall be livestreamed. LPHI shall store the Footage electronically at no charge for 90 days after the date of the ceremony (the “Free Storage Period”), during which time the Footage shall be accessible for viewing on the Website at the link provided. The duration of the Free Storage Period may be changed by LPHI in its sole discretion from time to time. Please refer to the latest version of these Terms of Use on the Website for the most up-to-date Free Storage Period terms.
  3. After the Free Storage Period has expired, LPHI may continue to store the Footage electronically for such length of time and at such price as may be determined by LPHI from time to time (the “Paid Storage”). Any such Paid Storage shall be subject to the terms of a written agreement between the Customer and LPHI with respect to same. While LPHI strives to notify the Customer (at the email address provided by the Customer to LPHI) that the Free Storage Period shall expire prior to the expiration of same, it is the Customer’s responsibility to request Paid Storage from LPHI before the expiry of the Free Storage Period.
  4. The Footage shall be available for purchase on LPHI’s online store in DVD, USB or other numeric format, at a price to be determined by LPHI from time to time, and subject to the terms and conditions applicable to LPHI’s online store (including the terms and conditions of any third-party website or platform).

USER CONTENT

  1. By submitting, transmitting, displaying, posting or storing any other content, including but not limited to photographs and text comments (the “User Content”), to the Website:
  1. You grant to LPHI, to the furthest extent and for the maximum duration permitted by applicable law, the right to upload (and in turn create a cache copy as necessary), reproduce, publish, translate, modify, publish, broadcast or communicate by electronic, multimedia or other means (now known or to be known in the future), the User Content or any part thereof in any media or communication medium.
  2. You agree that the use of any name, voice, likeness, biographical information, appearance and performance in connection with the User Content is not a violation of any rights, including but not limited to intellectual property rights, personality rights, moral rights and privacy rights.
  3. You grant to LPHI the right to edit, reformat, or modify the User Content in any manner consistent with the purposes of the Website, and only for the purposes of use on the Website or any other purposes agreed to under these Terms of Use.
  1. Without limiting the generality of the foregoing, by submitting User Content to the Website, you thereby grant to LPHI, the Customer and other Users the right to use the User Content to create the Footage and Derivative Works (defined below), which LPHI may then list for sale in LPHI’s online store.
  2. You acknowledge and agree that you are granting all the rights set out herein to LPHI on a royalty-free basis that you will receive no financial or other remuneration, and that LPHI may exercise all of its rights set out herein without providing any further financial or other remuneration to you.

OTHER DERIVATIVE WORKS

  1. In the use of the Website, User Content and LPHI’s services, derivative works, including but not limited to photo books and other memorabilia (“Derivative Works”), may be created by the Users. These Derivative Works are aside from and in addition to the Footage.
  2. While the intellectual property rights to the original works incorporated into the Derivative Works remain with the original owner, the Derivative Works themselves shall form part of the LPHI Materials. Any rights arising out of the Derivative Works are vested with LPHI and are subject to the rights and restrictions outlined in Section 4.

REPRESENTATIONS AND WARRANTIES

  1. You represent, warrant and agree that User Content of any kind posted, transmitted or shared by you DOES NOT violate or infringe upon the rights of any third party, including but not limited to intellectual property rights, moral rights, personality rights and/or privacy rights, unless you are the owner of these rights or have obtained the prior written consent of the owner.
  2. With respect to the User Content, you represent, warrant and covenant that:
  1. you are either:
  1. the sole and exclusive owner of the User Content, and you have the full right and authority to grant the above rights, or
  2. not the owner of the User Content, but you have lawfully acquired the rights to the User Content or a consent to use and/or reproduce the User Content on the Website from the owner of the User Content;
  1. the User Content to the best of your knowledge is an original work, and/or work produced under due authority;
  2. LPHI by using, displaying or otherwise publishing the User Content does not infringe or violate any third party’s intellectual property, privacy, personality or other rights; and
  3. the User Content does not contain any content or material, in audio, visual or written format, that may be considered abusive, offensive, obscene, defamatory, libellous, abusive, threatening, or otherwise illegal.
  1. If any of the above representations and warranties is or becomes untrue, you agree to indemnify LPHI against all damages, costs and expenses (including legal fees) that LPHI incurs as a result. You further agree to defend, indemnify and save harmless LPHI and its directors, officers, employees and agents from any and all costs, claims, damages, debt, expenses, liabilities and losses arising from: (i) use of the Website, (ii) your violation of these Terms of Use, or (iii) any third party right violation or damages arising from your use of the Website.
  2. You release and discharge LPHI and all other persons from all claims, demands, suits or actions (whether in law or equity) that you may have at any time arising out of or in connection with any exercise or non-exercise of any right granted to LPHI herein.

USER CONDUCT AND BEHAVIOUR

  1. LPHI reserves the right to monitor User conduct and behaviour, in order to ensure that all Users on the Website are behaving in a respectful manner towards each other.
  2. The following forms of conduct and/or behaviours are identified as “Prohibited User Behaviour”, and may result in the suspension or termination of your Account (as under Section 10), or the use of other technological means to prevent your access to the Website:
  1. spamming or engaging in any activities that may harass or threaten other users;
  2. submitting or posting any content that you did not create or have previous authorization to post;
  3. posts/comments including private third party information;
  4. using automated scripts or soliciting members for advertising, sales or promotional purposes, or using data mining functions, junk mail or pyramid schemes, robots, spiders, or any other data gathering or information extraction methods;
  5. hacking into or submitting any material containing viruses or otherwise engaging in activities designed to interfere in any way with any Website operation or security features;
  6. reverse engineering, modifying or tampering with the products, updates, patches, content or other utilities and tools provided on the Website or by LPHI;
  7. uploading, submitting, publishing, transmitting, displaying, downloading, disseminating or otherwise communicating any material or information that, in respect of other Users or any other third party, or is generally deemed to be:
  1. fraudulent, defamatory, libelous or inaccurate;
  2. abusive or threatening;
  3. offensive, obscene or pornographic in nature;
  4. confidential under any contract or policy;
  5. infringing intellectual property rights of any third party;
  6. in violation of any law or regulation and/or encouraging or advocating any illegal activity and/or advertising any illegal service or the sale of any items the sale of which is prohibited or restricted by any applicable law;
  7. solicitation of funds, goods or services other than as may be permitted by law and under LPHI’s policies;
  8. use of third-party personal data for commercial or unlawful purposes; or
  9. in breach of any other laws that are aimed at ensuring the personal safety of individuals;
  1. registering an Account by misrepresenting yourself or providing false Account information;
  2. soliciting a Minor, engaging in unlawful or criminal activity or encouraging or advocating unlawful or criminal activity;
  3. any other activity which in LPHI’s sole opinion would be considered objectionable or not in the best interest of LPHI, its members or the public good; or
  4. using a third party agent, service or other intermediary to post content on your behalf or on behalf of others.
  1. Further, in relation to the Prohibited User Behaviour by you or any other Users:
  1. LPHI undertakes no liability or responsibility in respect of any harm, losses or liabilities arising out of the breach of the privacy or security of any such content and/or information;
  2. LPHI does not guarantee or monitor the accuracy of any content and/or information provided by others;
  3. LPHI is not responsible for, nor does it endorse, the views, opinions and/or other information expressed by any User and LPHI specifically disclaims any and all liability in connection therewith; and
  4. all information you disclose or content you submit is done at your own risk, and any reliance upon or use of any content submitted by other Users is also done at your own risk.
  1. While LPHI may monitor Prohibited User Behaviour patterns, LPHI is not under any duty and/or obligation to do so, except as may be mandated by any law, legal process, or court order. LPHI also does not undertake to attest to the authenticity or accuracy of any statements or opinions or impressions resulting out of the Prohibited User Behaviours, except as may be mandated by any law, legal process, or court order. LPHI’s identified Prohibited User Behaviours shall be used as a standard to periodically monitor and take action against unacceptable User behaviours. LPHI may exercise its discretion as to the frequency or method of monitoring the Prohibited User Behaviours.
  2. In the event that any User(s) experiences or witnesses any Prohibited User Behaviour (or otherwise unacceptable User behaviour), the User(s) may report such behaviour by emailing [email protected] with an explanation of the Prohibited User Behaviour along with supporting screen shots. LPHI reserves the right to contact such defaulting User and take action under Section 10, or provide appropriate opportunity to remedy the behaviour, as may be deemed appropriate by LPHI in the circumstances.
  3. LPHI products may be subject to Canadian or foreign export control laws. You agree to abide by such laws and not to transfer, by electronic means or otherwise, any content subject to such restrictions under such laws to any other jurisdiction prohibited by such laws without the necessary government authority to do so.

TERMINATION/SUSPENSION

  1. Your Account does not confer any rights beyond what is specifically authorized herein and is revocable at LPHI’s sole discretion, at any time without prior notice.
  2. LPHI may terminate or suspend your Account and/or access to all or part of the Website and/or any products or services available through the Website if:
  1. LPHI determines or reasonably suspects that you have breached these Terms of Use, or that your conduct violates applicable law or is otherwise harmful to the interests of LPHI or other third parties;
  2. LPHI determines that your behaviour is a Prohibited User Behaviour; or
  3. LPHI determines to cease its operations and/or its provision of any applicable products or services in connection with the Website.
  1. LPHI has the right to suspend and/or restrict access to parts or all of the Website from time to time with or without notice to you.

DISCLAIMERS AND LIMITATIONS OF LIABILITY

  1. YOU ACKNOWLEDGE AND AGREE THAT YOUR USE OF AND/OR ACCESS TO THE WEBSITE, THE WEBCAST LINK AND RELATED SERVICES (THE “SERVICES”) IS AT YOUR OWN RISK, REGARDLESS OF WHETHER YOU ARE A PAYING CUSTOMER, A USER VIEWING A CEREMONIAL SERVICE REMOTELY, AND/OR OTHERWISE USING THE SERVICES.
  2. The Website, the Services and all the content therein are provided on an “as is” and “as available” basis, without warranties or representations of any kind. LPHI disclaims all warranties, representations and conditions (express or implied), including without limitation implied warranties of merchantability, non-infringement or fitness for a particular purpose, in connection with the Website, its contents, and the products or services available through the Website or associated with the use of the Website or any website or contents with which it is linked.
  3. Without limiting the generality of the foregoing, LPHI does not warrant:
  1. that the Website, the content therein, or any website to which the Website is linked will be available at any particular time, will be provided in an uninterrupted or error-free manner or will be corrected if found to be defective;
  2. that the Website or the servers that make the Website and its contents available will work with any particular hardware or software systems or configurations or are free of viruses or other harmful components; or
  3. that the Website or content therein is free from any viruses, malware, cookies, or other such programmes that may affect the performance or functioning of your device.
  1. LPHI does not warrant uninterrupted or error-free Services or the content, availability, accuracy or any other aspect of any information including, without limitation, all data, files and all other information or content in any form or of any type, accessible or made available to or by you through the use of the Services.
  2. In addition, access to the Website, webcast link and/or the Services are available where technology permits; the Services may not operate with all equipment or software, including without limitation all internet applications and appliances; and the Website, webcast and/or the Services may not function correctly, or at all, if:
  1. your equipment or software, the funeral home’s equipment or software, or LPHI’s equipment or software fails, is not configured correctly, does not meet LPHI’s requirements, or is tampered with;
  2. there is an internet service outage, a network outage or power failure, or the Services are adversely affected by radio interference, atmospheric conditions, geographic factors, network congestion, maintenance, outages, the configuration or limitations of equipment, or other operational or technical difficulties; or
  3. the Services are suspended or restricted or these Terms of Use are terminated.
  1. The Services are available only in those areas where the Services have actually been contracted by LPHI. Service availability is also subject to the availability of appropriate facilities and is dependent on the availability of suitable technology at the location(s) at which you wish to obtain the Services.
  2. Technical compatibility requirements may be changed from time to time in LPHI’s sole discretion. You are solely responsible for updating or maintaining your equipment and the software as necessary to meet such requirements and to ensure uninterrupted access to the Website, webcast link and/or other Services.
  3. LPHI may, from time to time and in its sole discretion, interrupt the Services in order to carry out system maintenance, reset parameters or update or modify the Services. You agree that LPHI shall not be liable to you for the maintenance and/or updates or for any impact the same may have on your ability to use or access the Services.
  4. From time to time, LPHI may also need to reset parameters, or update or modify products available on the Website (collectively, “Updates”). Updates will take place as necessary and may be conducted by LPHI in its sole discretion. Updates may interrupt or otherwise impact your use of the Website and LPHI’s other products. You agree that LPHI is not liable to you for any Updates or for any impact said Updates may have on your ability to use the Website and/or LPHI’s other products.LPHI shall make all reasonable efforts to ensure that such Updates and/or technical interruptions do not interrupt, impact the quality of, pause, suspend or in any other way materially affect an ongoing-webcast.
  5. LPHI is not responsible and does not accept liability for any loss or damage of any submissions (however caused), or any other loss or damage resulting directly or indirectly from your use of the Website and/or your use of and/or access to the Services, including without limitation the following:
  1. incorrect or inaccurate transcription of entry information or lost, incomplete, misdirected submissions, or submissions received through illegitimate channels, all of which will be deleted;
  2. the unavailability or inaccessibility of any good or service;
  3. unauthorized human intervention;
  4. electronic or human error or technical failures of any kind; or
  5. any injury or damage to persons or property, including without limitation your computer, which may be caused, directly or indirectly, in whole or in part, from use of the Website and/or use of and/or access to the Services or from downloading or uploading any material from or to the Website.
  1. You may be able to link to other third party websites through LPHI. It is your responsibility to educate yourself about the risks associated with Internet usage, and to review the applicable terms and policies of any site you visit and/or link thereto. LPHI MAKES NO REPRESENTATION AS TO THE ACCURACY OF CONTENT AVAILABLE ON THIRD PARTY SITES. IF YOU CHOOSE TO VISIT AND LINK OTHER SITES, YOU DO SO AT YOUR OWN RISK.
  2. LPHI reserves the right to vary, modify, change or discontinue the Website, and/or any feature or function offered on the Website, in whole or in part at any time without notice.
  3. To the extent that you communicate with LPHI’s customer service department or a customer service representative through any source, the statements, promises or actions taken by such source(s) shall not limit or otherwise modify the Terms of Use. These disclaimer and limitation of liability provisions shall apply to any information provided to you through such source(s).
  4. You acknowledge that if LPHI breaches any term or condition in these Terms of Use in any way, any damage you suffer due to such breach will be measurable in monetary damages and will not be irreparable or otherwise sufficient to entitle you to seek or obtain injunctive or other equitable relief. You acknowledge and agree that your rights and remedies in the event of any such breach by LPHI will be strictly limited to the right, if any, to recover damages in an action at law.
  5. To the fullest extent permitted by law, under no circumstances shall LPHI be liable for any loss of use, loss of data, loss of income or profit, or loss of or damage to property, or for any damages or any kind or character (including without limitation any compensatory, incidental, direct, indirect, special, punitive, or consequential damages), arising out of or in connection with the use of, or the inability to use, the Website or any of the LPHI materials or contents with which it is linked, even if LPHI has been negligent and/or has been advised of the possibility of such damages or losses. Without limiting the foregoing, LPHI is not responsible or liable for any infections or contaminations of your system or for any delays, inaccuracies, errors or omissions arising out of your use of the Website.

If the applicable law does not allow the limitation or exclusion of liability or incidental or consequential damages, then the total liability of LPHI for all damages, losses and causes of action and costs and expenses (including legal fees), whether in contract, tort or otherwise, related to your use of or inability to use the Website or any of the LPHI materials or functions at the Website, shall not exceed the less of (i) the amount, if any, paid by you to LPHI in connection with your access to the Website, or (ii) $100.00 in lawful money of Canada.

GENERAL

  1. Entire Agreement. These Terms of Use, including the policies and other documents incorporated by reference herein, contain the entire agreement between you and LPHI with respect to the subject-matter hereof and supersede all prior agreements between you and LPHI and prior representations made by LPHI, whether oral or written, relating to such subject-matter. You acknowledge that you are not relying on, and shall have no remedy in respect of, any statements, warranties, undertakings or representations given or made by the LPHI regarding the subject-matter hereof, except for those expressly set out herein.
  2. Assignment. You MAY NOT assign or transfer the Terms of Use or any part of them to any other person. LPHI may assign the Terms of Use without notice to you.
  3. Survival. If any provision of the Terms of Use shall be found by any court or administrative body of competent jurisdiction to be invalid or unenforceable, the invalidity or unenforceability of such provision shall not affect the other provisions hereof and all provisions not affected by such invalidity or unenforceability shall remain in full force and effect.
  4. Amendment & Waiver. Amendment or waiver of any of the Terms of Use shall be at the discretion of LPHI. Upon the amendment or waiver of any term, a revised Terms of Use document shall be uploaded and replace the previous version.
  5. Force Majeure. If LPHI is delayed or prevented from exercising its obligations or making deliveries in accordance with the Terms of Use due to circumstances beyond its reasonable control, including without limitation strikes, lockouts, labour disputes, fire, explosion, act of god, war, terrorism, or threat of war or terrorism, or other similar causes, then such failure to meet obligations or make deliveries shall not be a breach of these Terms of Use.
  6. Independent Contractors. Your use of the Website is not intended and shall not be deemed to create any agency, joint venture or other legal relationship of any kind between you and LPHI.
  7. Governing Law. The Terms of Use shall be governed by and construed in accordance with the laws of the Province of New Brunswick and the laws of Canada applicable therein. Any and all disputes, claims and causes of action arising out from use of the Website shall be resolved individually, without resort to any form of class action, and exclusively by the courts of the Province of Quebec. Any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with use of the Website, but in no event legal fees. You hereby you waive the right to claim any damages whatsoever, including but not limited to punitive, consequential, or indirect damages.
  8. Independent Legal Advice. You confirm that LPHI has encouraged you to obtain independent legal advice regarding the Terms of Use, and that you have obtained such advice or have voluntarily chosen not to do so.
